Affiliate Agreement Terms for HaleyNutrition.com

By submitting an application to participate in the Haley Nutrition Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by the following terms and conditions.

Upon approval into the program, affiliates must submit a completed IRS Form W-9.

1. TERM OF AGREEMENT

This Agreement begins upon our acceptance of your Affiliate Program application and will remain in effect until terminated by either party.

Either party may terminate this Agreement at any time, with or without cause, and with or without prior notice.

Affiliates are eligible to earn referral commissions only on valid qualifying sales that occur while the affiliate account is active and in good standing.

If an affiliate account is suspended for any reason, no commissions will be earned during the suspension period.

Haley Nutrition reserves the right to suspend or terminate any affiliate account if fraud, abuse, policy violations, or non-compliance with these Terms are suspected.

Commissions properly earned prior to termination may be paid in accordance with the program’s normal payment schedule.

2. MODIFICATION OF AGREEMENT

We reserve the right to modify this Agreement at any time at our sole discretion.

Changes may include but are not limited to:

  • commission rates
  • payment procedures
  • program rules
  • eligibility requirements
  • advertising policies

Updates may be communicated by posting a revised agreement on the HaleyNutrition.com website or affiliate portal.

If any modification is unacceptable to you, your only recourse is to terminate this Agreement.

Continued participation in the Affiliate Program following any change constitutes acceptance of those changes.

3. LIMITATION OF LIABILITY

Stockton Aloe 1, Inc. (DBA Haley Nutrition) will not be liable for any indirect, special, incidental, or consequential damages, including loss of revenue, profits, or data, arising from participation in the Affiliate Program.

This limitation applies even if we have been advised of the possibility of such damages.

Our total aggregate liability arising from this Agreement will not exceed the total referral commissions paid or payable to the affiliate under this Agreement.

4. INDEPENDENT INVESTIGATION

You acknowledge that you have read and agree to this Agreement and have independently evaluated the desirability of participating in the Affiliate Program.

You understand that Haley Nutrition may:

  • operate websites that compete with affiliate websites
  • solicit customers through other marketing channels
  • offer promotional terms different from those available to affiliates

Affiliates participate in the program voluntarily and are not relying on any representation, guarantee, or statement other than those contained in this Agreement.

5. JURISDICTION

This Agreement shall be governed by the laws of the State of Florida and the United States of America, without regard to conflict-of-law principles.

Any legal action arising under this Agreement must be brought in the state or federal courts located in Florida.

By participating in the Affiliate Program, you consent to the jurisdiction of these courts.

Affiliates may not assign or transfer this Agreement without prior written consent from Stockton Aloe 1, Inc.

Failure to enforce any provision of this Agreement does not constitute a waiver of the right to enforce that provision later.

6. COMMISSIONS & PROMOTIONAL MATERIALS

Affiliates may earn commissions on qualifying retail purchases made through valid affiliate links.

Commissions are not paid on:

  • wholesale accounts
  • distributor purchases
  • purchases made by other affiliates
  • refunded or cancelled orders
  • fraudulent transactions
  • orders placed by the affiliate through their own referral links (“self-orders”)

Commissions are paid only on Haley Nutrition branded products manufactured by Stockton Aloe 1, Inc. and sold through HaleyNutrition.com.

Affiliates may use banners, links, and promotional materials provided through the official affiliate “Creatives” area.

Affiliate links or banners must be placed only on:

  • websites owned or controlled by the affiliate
  • social media accounts belonging to the affiliate
  • newsletters, blogs, or content platforms where the affiliate controls the content

Use of affiliate materials on advertising networks or ad-exchange platforms such as AdEngage, AdsDaq, Adbrite, or similar platforms is prohibited unless expressly approved.

7. SEARCH ENGINE OPTIMIZATION (SEO)

Affiliates may create content related to Haley Nutrition products, but may not use SEO strategies intended to capture “coupon,” “discount,” or promotional traffic related to Haley Nutrition products.

Examples of prohibited search targeting include phrases such as:

  • coupon
  • promo code
  • discount
  • BOGO
  • special offer
  • deal
  • free add-on

These tactics often divert traffic from affiliates who originally referred the customer.

Affiliates found intentionally or unintentionally using such tactics may have their affiliate relationship terminated.

Pages that contain such language must use “no-index” tags so they are not indexed by search engines.

8. COUPONS

From time to time, Haley Nutrition may provide official coupon codes that affiliates are permitted to promote.

Coupon codes must not be placed on search-indexed webpages.

If coupons appear in content such as:

  • blog posts
  • images
  • text
  • downloadable materials

those pages must include a “no-index” tag.

Coupons may be mentioned in audio or video content.

If coupon codes appear on search-indexed coupon sites or other unauthorized platforms, Haley Nutrition reserves the right to cancel those coupon codes at any time.

9. ONLINE ADS, KEYWORDS, AND DOMAIN NAMES

Affiliates may not purchase or register keywords, domain names, search terms, or paid advertisements containing the following or any confusingly similar variations:

  • Haley Nutrition
  • Stockton Aloe 1
  • Aloe1
  • Aloe 1
  • product names
  • trademarked brand names
  • common misspellings of the above

This restriction applies to:

  • Google Ads
  • Bing Ads
  • Pay-Per-Click advertising
  • sponsored listings
  • domain registrations
  • social media ads
  • any other paid search or referral services.

Affiliates may not run advertisements that display:

www.aloe1.com
or
www.haleynutrition.com

as the visible URL in the ad when the destination is an affiliate link.

Doing so is considered impersonation of the official company website.

Ads are permitted only if they clearly display the affiliate’s own domain or website as the visible URL.

Violation of this policy may result in account suspension and forfeiture of related commissions.

Haley Nutrition is not responsible for actions taken by advertising platforms such as Google if an affiliate violates trademark policies.

10. USE OF HALEYNUTRITION.COM CONTENT

Affiliates may not copy or reproduce content from HaleyNutrition.com unless that content is specifically provided within the official affiliate Creatives area.

Affiliates may not:

  • replicate the design or layout of HaleyNutrition.com
  • copy the website code or visual design
  • create websites that imitate the official company site

Affiliate websites must clearly identify themselves as independent sites.

Visitors must not be confused into believing they are on the official Haley Nutrition website.

Affiliates may link to any HaleyNutrition.com page using properly formatted affiliate referral URLs.

11. SALES TRACKING & COMMISSIONS

The affiliate program currently tracks online purchases shipped within the United States only.

The program currently uses a 30-day tracking cookie.

Commission rates are as follows:

First-time customer purchases:
20% commission

Repeat purchases by the same customer:
10% commission

Repeat purchase commissions may be paid for up to one year following the customer’s first purchase.

Repeat order commissions will gradually phase out and are scheduled to end on March 15, 2027.

Haley Nutrition reserves the right to modify or terminate repeat commissions earlier for any affiliate, group of affiliates, or the entire program.

Orders must be placed while a valid tracking cookie is present in the customer’s browser to qualify automatically for commissions.

Some customers may clear cookies or use privacy settings that prevent tracking.

In such cases, commission payments may be made at the sole discretion of Stockton Aloe 1, Inc.

Occasionally customers may manually identify their referring affiliate during checkout. In such cases, we may manually assign commissions at our discretion.

12. FTC DISCLOSURE REQUIREMENT

Affiliates must clearly disclose their affiliate relationship with Haley Nutrition in accordance with Federal Trade Commission (FTC) guidelines regarding endorsements and testimonials.

Disclosures must be clear and conspicuous and appear wherever affiliate links are used, including but not limited to:

  • websites
  • blogs
  • social media posts
  • videos
  • email promotions

Failure to properly disclose affiliate relationships may result in termination of the affiliate account.

13. HEALTH CLAIMS AND PRODUCT REPRESENTATION

Haley Nutrition products are dietary supplements and are not intended to diagnose, treat, cure, or prevent any disease.

Affiliates may not make medical claims, disease claims, or therapeutic claims about Haley Nutrition products unless such claims are specifically provided in official Haley Nutrition materials.

Affiliates must not make statements that could mislead consumers regarding the benefits or effects of Haley Nutrition products.

Violation of this policy may result in immediate termination from the Affiliate Program.

14. SOCIAL MEDIA GUIDELINES

Affiliates agree to comply with the official Stockton Aloe 1 Social Media Guidelines.

Failure to follow these guidelines may result in suspension or termination from the Affiliate Program.

15. INDEMNIFICATION

Affiliate agrees to indemnify, defend, and hold harmless Stockton Aloe 1, Inc., Haley Nutrition, and their officers, employees, and representatives from any claims, damages, losses, liabilities, costs, or expenses arising from:

  • the affiliate’s promotional activities
  • violation of this Agreement
  • violation of advertising laws or FTC guidelines
  • unauthorized product claims or misleading marketing statements.

16. PROGRAM ENFORCEMENT

Violation of any provision of this Agreement may result in:

  • suspension of the affiliate account
  • termination of the affiliate account
  • withholding or cancellation of commissions
  • other actions deemed appropriate by Haley Nutrition.

No commissions will be paid during periods of account suspension.
